SAI Terms and Conditions

Product Use

SAI products are for investigational use in laboratory animals or other tests that do not involve human subjects. THESE PRODUCTS ARE NOT FOR HUMAN USE.    

Organic solvents may cause deterioration of polymers.

Compatibility testing is required for all components of the fluid path prior to in-vivo use.

Acceptance

All purchases of SAI goods and services shall be controlled solely by these Terms of Sale and SAI expressly objects to and rejects any inconsistent or conflicting terms and conditions contained in any purchase order or other document provided by the buyer. No modification of these Terms of Sale shall be binding upon SAI unless made in writing and signed by SAI’s authorized representative.

Written quotations from SAI automatically expire 30 days from issue unless otherwise noted on the quotation document. All orders based on quotation (written or verbal) are subject to these Terms of Sale and final order acceptance by SAI. Please reference the quote number and date when placing an order.

Please note: Many SAI products are customizable and made to order. Because of this, images on the website are for illustrative purposes only, and might not be an exact representation of the product ordered.

Minimum Order

A minimum of $75.00 is required for orders shipped in the US and $200.00 for international orders. This minimum is not inclusive of any applicable taxes, shipping or other fees.  

Prices

All prices quoted are subject to change without prior notice. All prices are quoted in US dollars and all payments must be made in US currency.

Taxes

Buyer is responsible for any applicable city, state, or national taxes, VAT, excise taxes and/or import. Whenever it is required by a governing authority, such taxes will be added to the invoice as a separate charge payable by the buyer.

Shipping

SAI ships Federal Express and adds shipping charges to the invoice. Unless the order is prepaid, SAI reserves the right to select the carrier. We insure all shipments and add this charge to the invoice. Collect Shipping is acceptable on F.O.B. factory basis only. The buyer is responsible for paying the invoice in its entirety.

Cancellations

Products- Most SAI products are built to order. Cancellations for custom orders are subject to a penalty of 100% once production has commenced. Cancellation or changes for a product once the order has been confirmed will be assessed a minimum restocking fee of 25% of the invoice value, plus shipping charges.

Services- SAI visits to a customer site for training or other paid services are subject to a cancellation fee. Once Purchase Order for the visit has been received, customer cancellation is subject to a fee equal to the greater of $750USD OR the documented travel costs which have been incurred.

Bulk/Volume Discounts- Customer orders which include bulk pricing or volume discounts are subject to a cancellation fee. This fee is equal to the difference between list price and the offered discount, and will be applied retroactively to all purchased products.

Claims

Claims for shortages, errors or shipping damage must be made in writing within 5 days of receipt of product. Claims for product deficiency must be made in writing within 30 days of receipt. SAI will not honor claims outside of these terms.

Returns

If you are not 100% satisfied with your purchase, you can return the product for a refund or exchange. All returns must be requested within 30 days of receipt of purchase. All returned items must be unused, in the same condition as they were received, and in the original packaging. Custom items and prefilled syringes may not be returned. Perishable goods such as vials and prefilled syringes are not returnable. Product returned for any reason other than manufacturing defect will be subject to a minimum restocking fee of 25%.

Limited Warranty

SAI warrants that the Product, including accessories, shall be free from defects in materials and workmanship for a period of 90 days, under the following provisions:

+The product is used for the intended application
+The product is used in accordance with any documentation that accompanies it

SAI shall be under no liability in respect of any defect in the Goods arising from normal wear and tear, or any willful damage, negligence, subjection to abnormal working conditions, failure to follow SAI’s written instructions, misuse or alteration or repair of the Goods without the Supplier’s approval.

The buyer’s sole and exclusive remedy under the foregoing limited warranty is that SAI will repair or replace, at its option, any product manufactured by SAI which is defective in material or workmanship during the warranty periods based on the terms set forth above.

SAI neither assumes nor authorizes any person to assume for it any other liability in connection with the sale, installation, service or use of its products. Under no circumstance will SAI be liable for any personal injury, property damage, or consequential, incidental or special damages of any kind from any cause, including but not limited to: lost business, revenues or profits.

Where SAI is not the manufacturer of the Goods, SAI shall, without limiting its other obligations, extend to the benefit of any warranty given by the manufacturer.

All other warranties or other terms, express or implied by statue or otherwise, are excluded to the fullest extent permitted by law.

Indemnification

The buyer shall defend, indemnify, and hold harmless SAI and its directors, officers, employees and agents from any claims, damages, or expenses, including reasonable attorneys' fees, arising or alleged to arise from

+The improper use, handling, treatment, storage, disposal, transportation, maintenance by buyer of any goods purchased hereunder
+Any asserted deficiencies or defects in the goods supplied hereunder caused by any alteration made by buyer with or without SAI's consent
+Buyer's breach of any terms or conditions of the Terms of Sale, or
+The re-sale of any of the goods purchased hereunder.

The foregoing indemnification shall not be construed to eliminate or in any way reduce any other indemnification or right which SAI has by law.

Force Majeure

Any delay or default in the performance of any obligation by SAI under these Terms of Sale shall be excused if such delay or default is caused by conditions beyond SAI's control, including, but not limited to: acts of nature, fires or floods; governmental action or inaction or restraint; continuing domestic or international disturbances, such as war or insurrections; strikes; work-stoppages; embargoes; unavailability of equipment; and/or lack of materials. Any suspension of performance shall be limited to the period during which such causes of failure exist.
